Hendrik Moorahrend and Pablo von Vacano, hereinafter referred to as “greenclicks” are responsible, collectively and in solidarity for the app henceforth called greenclicks (“App” or “greenclicks”).

By these Terms of service (“Terms”), greenclicks regulates the conditions for the use of the services provided on the App by the users (“Users”).

By installing and using the services provided by greenclicks, Users accept and submit to the terms of these Terms of service.

1. Definitions

1.1 The following definitions and descriptions should be considered for your best understanding:

Content: Any text, graphics, images, music, audio, video, information or other materials made available on the App, regardless of whether it is greenclicks Content or User Content.

User Content: any and all content that an User posts, downloads, uploads, publishes, submits or transmits that is made available through the App.

App: Designates the greenclicks App available at https://app.greenclicks.co/ and any other sites, mobile applications or service channels offered by greenclicks.

Services: refers to any and all service provided by greenclicks through the App or not.

Users: refers to all users, it means, anyone who uses the App. Unless expressly stated otherwise, the terms “you” or “your” refer to the User.

2. Object, Duration, Fees and Payments

2.1 greenclicks is an App that allows Users to automatically fund the planting of trees and/or reducing or avoiding or eliminating Carbon Dioxide from the atmosphere.

2.2 You must be 18 years of age or older to use the App services.

2.3 By registering, the User will be able to use all the services in the App available for your region and in accordance with the scope of the hired plan, declaring, therefore, to have read, understood and accepted these Terms.

2.4 Modifications. We modify the App services from time to time, including by adding or deleting features and functions, in an effort to improve your experience.

2.5 Term and Renewal. Your paid subscription period will start immediately after we receive your confirmation to upgrade into greenclicks paid services; your subscription will run as long as you don’t cancel it.

2.6 Cancel. You can cancel the subscription to greenclicks at any time, by uninstalling the App or by sending a cancellation notice to us.

2.7 Suspension

2.7.1 Suspension for Prohibited Acts. Use of the Subscription Service in a way that violates applicable local, state, federal, or foreign laws or regulations or the terms of this Agreement.

2.7.2 Suspension for Non-Payment. We will provide you with notice of non-payment of any amount due. Unless the full amount has been paid, we may suspend your access to any or all of the Subscription Services ten (10) days after such notice. We will not suspend the Subscription Service while you are disputing the applicable charges reasonably and in good faith and are cooperating diligently to resolve the dispute.

2.7.3 Suspension and Termination of Free Services. We may suspend, limit, or terminate the Free Services for any reason at any time without notice. We may terminate your subscription to the Free Services due to your inactivity.

2.8 Effect of Termination or Expiration. If your paid subscription is terminated or expires, we will continue to make available to you our Free Services provided however, this may not be the case if your Agreement was terminated for cause.

2.8.1 You will continue to be subject to this Agreement for as long as you have access to the App.

2.8.2 The User remains responsible for all amounts due to greenclicks or third parties.

2.8.3 greenclicks will verify any amounts that are legally owed to the User and will pay them in a timely manner.

2.9 Subscription Fees. The Subscription Fee are specified at www.greenclicks.co/#pricing

2.10 Fee Adjustments. We may increase your fees up to our then-current list price set out in our www.greenclicks.co/#pricing . If this increase applies to you, we will notify you, if you do not agree to this increase, either party can choose to terminate your subscription.

2.11 Payment against invoice. We will invoice you at most during the first twenty (20) days of each month. All amounts invoiced are due and payable within thirty (30) days from the date of the invoice, unless otherwise specified in the Order Form.

2.12 Payment Information. You will keep your contact information, billing information and credit card information (where applicable) up to date. All payment obligations are non-cancelable and all amounts paid are non-refundable, except as specifically provided for in this Agreement.

2.13 Third parties. greenclicks may work with third party providers for planting trees and or reducing or avoiding or eliminating Carbon Dioxide from the atmosphere.

2.13.1 greenclicks will apply all due diligence when choosing providers based on available information published on their official websites.

2.13.2 In case any greenclicks provider is at fault or misacted, regardless if greenclicks received notice or not, Users can not claim their payments back.

3. Registering as User

3.1 By sharing your login details and allowing greenclicks to access your account, you are aware, understand and agree that greenclicks may access, to your data as described in www.greenclicks.co/legal/#data

3.2 By creating a greenclicks account, you are responsible and obligated to provide only true, accurate and authentic information and to keep it up to date while using the App or greenclicks’ services. Users guarantee and are liable in any case, civilly and/or criminally, for the truthfulness, accuracy and authenticity of the Personal Data registered.

3.3 By creating an account at greenclicks, you assume full responsibility for any actions taken on your account, whether or not you have authorized such actions.

4. Free subscription

4.1 greenclicks offers a free subscription as specified in www.greenclicks.co/#pricing .

4.2 All the rights and obligations set forth in these Terms and in the Privacy Policy are applicable to Users during the free subscription established in this Clause 4, therefore, it is an essential requirement that the Users read and accept them.

4.3 After upgrading to a paid subscription, greenclicks notifies the Administrator as well as the user who first installed the App to confirm the paid subscription.

4.3 If the User fails to confirm the paid subscription and to provide a valid form of payment, all access to the App may be lost.

5. Users Responsibilities

5.1 Any antispam systems, similar filters, or message redirection settings will be set in a manner that does not interfere with the greenclicks’s communications and resources. greenclicks is not responsible if you have not had access to any message or email due to the cases mentioned above.

5.2 User will respect all intellectual property rights owned by greenclicks.

5.3 The App is offered as a service, and no right to its software, IT structures or database will be granted to the User.

6. Customer data

6.1 You own and retain all rights to the Customer Materials and Customer Data registered in your connected account with greenclicks. This Agreement does not grant us any ownership rights to Customer Materials or Customer Data. You grant permission to us and our licensors to use the Customer Materials and Customer Data only as necessary to provide the Subscription Service to you and as otherwise permitted by this Agreement.

6.2 We will not use, or allow anyone else to use, Customer Data to contact any individual or company except as you direct or otherwise permit. We will use Customer Data only in order to provide the Subscription Service to you and only as permitted by applicable law and this Agreement.

7. Exemptions and Limitations of Liability of greenclicks

7.1 greenclicks complies with all laws and regulations applicable to its activities and expects all its Users to do so. However, greenclicks cannot guarantee and assumes no responsibility for the compliance of its Users with any laws or regulations. By using greenclicks’s App or Services, you acknowledge and agree that you are the sole responsible for compliance with any and all laws, rules, regulations, and legal and tax obligations that may apply to your use of the App, Services and Content.

7.2 The User will indemnify greenclicks, its subsidiaries, directors, administrators, employees, representatives and staff for any claims of other Users or third parties arising from User’s acts and omissions during the use of the App or Services that have resulted in a failure to comply with these Terms of Use, other greenclicks policies, third party rights or any applicable laws or regulations. This will include reasonable attorneys’ fees.

7.3 greenclicks’s App or Services may contain links to other websites. This does not imply any relation of partnership, supervision, complicity, endorsement or solidarity of greenclicks to these sites, their contents, products or services. You acknowledge and agree that greenclicks is not responsible for the availability or accuracy of such sites or resources or for the content, products or services contained or made available through such sites or resources. You assume sole and total responsibility for all risks and any damages arising from the use of any of these sites or their contents, products or services.

7.4 No advice, guidance or information, whether verbal or in writing, obtained from greenclicks or through the App, Services or Content, creates any warranty or liability not expressly made in these Terms.

7.5 Users do not have any right to demand the availability of the App as they see fit, nor can they claim compensation or repair damages in case the App remains out of the service, regardless of the motivation.

7.6 The eventual removal, blocking or suspension of any content or functionality of the App as a result of any claim shall always be understood as a demonstration of good faith and intention to resolve conflicts amicably, never as a recognition of guilt or any infringement by greenclicks a third party right.

7.7 greenclicks reserves the right to assist and cooperate with any judicial authority or governmental body and may submit registration information of its Users to said authorities.

8. Intellectual property

8.1 The commercial use of the expression “greenclicks” as a trademark, business name or domain name; the contents of the screens related to greenclicks’s App or Services; and the programs, databases, networks, files that allow you access to the App and use your account are all owned by greenclicks. Misuse and reproduction in whole or in part of these items is prohibited, unless expressly authorized by greenclicks.

8.2 All other trademarks, service marks, logos, trade names and any other proprietary names are trademarks or registered trademarks of their respective parties.

9. Notices

9.1 Any notices or other communications permitted or required in this document, including modifications in relation to these Terms, will be in writing and delivered by greenclicks (i) by posting on the App or (ii) via email to the email address informed by the User in Your Account.

9.2 Any notices or other communications directed to greenclicks should also be in writing and delivered via email to the address info[at]greenclicks.co

9.3 For notices by email, the date of receipt will be considered the date on which such notification is transmitted.

10. Governing Law and Jurisdiction

10.1 All items in these Terms are governed by the laws in force in Estonia.
